The role in a nutshell:
We are looking for a qualified and proactive Company Secretary to join our team and support a diverse portfolio of clients across various industries. The ideal candidate will be responsible for providing end-to-end corporate secretarial services to client organizations, ensuring compliance with applicable laws, regulations, and best practices, particularly under the Companies Act, 2013. This role involves handling company incorporations, board and shareholder meeting compliances, statutory filings, RBI-related obligations, and drafting key corporate documents. The candidate will play a critical advisory and execution role in supporting clients’ governance, regulatory, and business objectives
How you will make a difference:
- Incorporate private and public companies and manage related statutory compliances.
- Ensure adherence to updated Secretarial Standards and Companies Act, 2013.
- Manage declaration, payment, and transfer of dividends, including compliance with IEPF regulations.
- Draft and implement changes to AOA and MOA, and handle increase in authorised share capital.
- Oversee share allotments, transfers, and dematerialization; apply for ISIN.
- Handle managerial appointments, board composition, remuneration, and related filings.
- Support Secretarial Audit and prepare statutory certificates and compliance reports.
- Draft and file applications for condonation of delay, consolidated stamp duty, and share certificates.
- Manage procedures for change of registered office across states and change of company name/business objectives.
- Handle creation, modification, and satisfaction of charges.
- Manage company strike-off process under the Fast Track Exit Scheme.
- Organize and conduct AGMs, Board, Committee, and General Meetings.
- Draft notices, agendas, resolutions, minutes, and other meeting documentation.
- Prepare and file annual reports, Directors’ Report, Notices, Annual Returns, and e-forms (including XBRL).
- Maintain statutory registers and records in compliance with the Companies Act.
- Prepare Search Reports, Due Diligence Reports, and newspaper advertisements.
- Handle ESOP compliance and related documentation.
- File FCGPR, FLA, and manage basic RBI compliance for import/export transactions.
- Apply for and update Importer Exporter Code (IEC).
- Coordinate with banks on regulatory and compliance matters.
- Possess basic understanding of accounting principles and GST compliance
What will give you an advantage:
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Minimum 3–6 years of relevant post-qualification experience in corporate secretarial practices.
- Good working knowledge of MCA, ROC, RBI, and FEMA-related compliances.
- Thorough understanding of Companies Act, 2013 and applicable rules.
- Proficiency in drafting, e-filing, and maintaining statutory records.
- Familiarity with secretarial standards and audit requirements.
- Exposure to share allotments, transfers, and demat procedures.
- Basic awareness of accounting and GST matters is a plus.
- Strong organizational and communication skills.
- Excellent drafting and documentation skills.
- High level of accuracy and attention to detail.
- Proficiency in MS Office and relevant compliance software/tools
